SEABOURN ACADEMY PROGRAM TERMS AND CONDITIONS

BY CREATING AN ACCOUNT AND REGISTERING FOR THE seabourn ACADEMY PROGRAM YOU ACKNOWLEDGE AND AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS STATED HEREIN. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THIS SITE. THESE TERMS APPLY TO ALL REGISTERED SEABOURN ACADEMY MEMBERS. THE ACADEMY PROGRAM IS LIMITED TO QUALIFYING TRAVEL AGENTS OF QUALIFYING TRAVEL AGENCIES (SEE BELOW FOR DEFINITIONS).

 Program Definitions

"Academy Program" or "Program" shall mean the program pursuant to which Seabourn shall make available to Qualifying Travel Agents the opportunity to achieve certain Benefits by taking and passing Courses.

 "Course(s)" shall mean an educational course provided by Seabourn, a certain number of which must be taken by a Qualifying Travel Agent in order for the Qualifying Travel Agent to be eligible for Benefits.

"Qualifying Travel Agency" shall mean a travel agency that has registered for the Program and is operating as a travel agency selling Seabourn's cruises and travel packages as of the time of registration and Benefit acceptance.

 "Benefit(s)" shall mean any benefit given by Seabourn that the Qualifying Travel Agent achieves by completing Courses.

"Qualifying Travel Agent", “You”, or “Participant” shall mean a person employed as a travel agent of a Qualifying Travel Agency who meets the eligibility requirements set forth in these Program Terms and Conditions at the time of registration and acceptance of any Benefit.

 Program Terms

 1. Eligibility

 a)    A Qualifying Travel Agent is eligible to participate in the Program by completing Program registration. A Qualifying Travel Agent will be registered in the Program by: (i) providing the required information online at www.seabournacademy.com; and (ii) agreeing to these Program Terms and Conditions. Qualifying Travel Agents are responsible for keeping their registration information accurate, complete and current in order to maintain their status as Qualifying Travel Agents. Qualifying Travel Agents are also responsible for maintaining the confidentiality of their accounts and passwords and for all activities that occur under their accounts or passwords. Any failure to abide by these Terms and Conditions, any conduct detrimental to Seabourn, or any misrepresentation or fraudulent activities in connection with this Program, including, but not limited to, registering fraudulent travel agencies for the purpose of securing benefits hereunder, may result, in addition to any rights or remedies available to Seabourn in law or equity, in the immediate suspension or termination of a Qualifying Travel Agent’s membership in the Program, as well as forfeiture of all Benefits accrued to date, in Seabourn's sole discretion.

b)    If any Participant is no longer a Qualifying Travel Agent he/she will be immediately disqualified from participation in the Program and shall have no right to accept any Benefit.  

 c)    The Program and all of the associated Benefits offered by Seabourn as part of this Program are offered at the discretion of Seabourn. Seabourn reserves the right to revise or withdraw the Terms and Conditions, Courses, Benefits, terminate the Program or any other aspect of the Program, in whole or in part, at any time, with or without notice, even though such changes may a Benefit already earned. Seabourn shall have no liability for any printing, production, typographical, mechanical or other errors in the Program or Courses, or any delay or failure to provide a Benefit. A Qualifying Travel Agent should not rely upon the continued availability of the Program or any Benefit earned in connection therewith. Qualifying Travel Agents are responsible for periodically reviewing these Program Terms and Conditions in order to understand their rights and responsibilities under the Program. A Qualifying Travel Agent's continued use of the Program, following the posting of conspicuous notice of any modification, will indicate his/her acceptance of any modification to these Program Terms and Conditions.

 2. Courses.

 A Qualifying Travel Agent can see a list of Courses and which Courses he/she has passed by clicking the “Courses” link. To pass a Course, a Qualifying Travel Agent must obtain a score of 70 percent or better. In the event that a Qualifying Travel Agent does not pass a Course, he/she may re-take the failed Course until it is passed at 70 percent or better. A Qualifying Travel Agent must take and pass all Courses identified as core Courses in order to become a Seabourn Academy Graduate. Qualifying Travel Agents may take as many optional Courses as they wish.

3. Benefits for Qualifying Travel Agents.

 a)    A Qualifying Travel Agent is eligible to receive Benefits once they have completed all required core Courses and if they work for a Qualified Travel Agency at the time of Benefit acceptance. Benefits cannot be transferred to other agents. Qualifying Travel Agents shall refer to www.Seabournacademy.com for details about current Benefits.

 b)    Any claim for a Benefit not credited accurately must be received by Seabourn within six (6) months of the date of claimed Benefit eligibility. Seabourn reserves the right to invalidate a Benefit if it determines that such were improperly given to a Qualifying Travel Agent or obtained fraudulently. Seabourn reserves the right to require proof of Course completion and to delay the processing of any Benefit without notice to Qualifying Travel Agent in order to assure compliance with the Terms and Conditions outlined herein.

4. Release. By participating in the Program, You hereby agree to release and hold harmless Seabourn and its affiliates, directors, officers, employees, agents and other representatives from any and all claims for damage, injury, death, loss or other liability that may arise out of or in connection with participation in the Program and Your acceptance or use of any Benefit. You hereby agree that your name and likeness may be used for the advertising, marketing and promotion of the Program and/or Seabourn in any and all media now known or hereinafter developed without territorial or time limitations and without any compensation.

5. Program Administration. Seabourn shall have full power and authority to interpret the Program Terms and Conditions and make all Program decisions. All participants shall be bound by all such determinations of Seabourn.

6. Complete Agreement. These Program Terms, together with the Website Terms and Conditions of use and Privacy Policy at www.seabourn.com, make up the entire agreement between us relating to the Program, and replace any prior or contemporaneous understandings or agreements (whether oral or written) regarding the Program. If a court finds any of these Program Terms and Conditions to be unenforceable or invalid, that Term and Condition will be deemed stricken and the other Terms and Conditions will remain valid and enforceable. If there is any conflict between these Program Terms and Conditions and the terms and conditions of www.seabourn.com, these Terms and Conditions shall govern. The Program is void where prohibited.
